When using the CRM there is not an option to create a company/division without a contact. I understand that this is because when you are talking to a company there is always a contact.
However, what if the customer creates the contact first and then wants to create the company at a later date (adding the contact to the division via change parent)? They are forced to either make up a contact in order to create the company/division or find another contact (there might not be one).
This was a suggestion from Alison Humphrey's at Exchequer.
You can now create a Company record (without creating a contact) via the global create menu. This feature will be rolling out to all users over the coming few weeks.

We do this frequently if a division is sold - we often then move it to its own company. You cannot now just create a company
This used to be easy and is now a real performance! So a backward step
Please implement as soon as possible
